Company will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Company or divulge, disclose, or communicate in any manner any information that is proprietary to Client.  Company will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Agreement.

4. Disclaimer

The materials on the School’s website are provided 'as is'. The School makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, the School does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.

Client agrees that services offered under this Agreement are not legal, tax or accounting advice. Client agrees that he or she shall not look to Coach to provide any legal, tax, or accounting advice or services. Further, Client agrees that Coaching and any services offered under this Agreement are not psychological counseling or any type of therapy, medical assistance or other types of mental health counseling. Client agrees that he or she shall not look to Coach to provide any psychological counseling, therapy, medical assistance or any other type of mental or emotional health counseling.



5. Limitations

In no event shall the School be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on the School’s website, even if the School or an authorized of the School has been notified orally or in writing of the possibility of such damage.

IN NO EVENT SHALL Company BE LIABLE TO CLIENT FOR ANY INDIRECT, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES.



6. Indemnification

Client agrees to indemnify and hold harmless Company, Carlee Myers and its agents, employees, representatives, successors and assigns from all primary and third party claims, losses, expenses, fees, including attorney fees, costs, and judgments that may be asserted against Company, by any third parties that result from the acts or omissions of Client, Client’s employees, if any, and Client’s agents.



7 . Severability

The provisions of this Agreement shall be deemed severable, and the invalidity or unenforceability of any provision shall not affect the validity and enforceability of any other provision hereof. If any Section, subsection, sentence, or clause of this Agreement shall be adjudged illegal, invalid, or unenforceable, such illegality, invalidity, or unenforceability shall have no effect on the Agreement as a whole or on any Section, subsection, sentence, or clause hereof not expressly so adjudged.



8. Revisions and Errata

The materials appearing on the School’s website may include technical, typographical, or photographic errors. The School does not warrant that any of the materials on its web site are accurate, complete, or current. The School may make changes to the materials contained on its web site at any time without notice. The School does not, however, make any commitment to update the materials.



9. Links

The School has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by the School of the site. Use of any such linked website is at the user's own risk.

11. Governing Law

Any claim relating to the School’s website shall be governed by the laws of the School Owner’s home jurisdiction without regard to its conflict of law provisions.

This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania.
